Terms of Service

These Terms are the agreement between GhostBill Pro ("we," "us," "our") and the person or business using our software ("you"). They cover what we provide, what you agree to, and what happens if something goes wrong. By using the Service, you agree to these Terms.
1. Who's covered
These Terms apply to anyone who creates an account on, or uses, GhostBill Pro (the "Service"). By signing up or using the Service, you accept these Terms. If you're using the Service on behalf of a business, you confirm you have the authority to bind that business. You must be at least 18 to use the Service.
2. What the Service is
GhostBill Pro is invoicing and client-approval software for freelancers and small teams. We may add, change, or remove features at any time. We may also discontinue the Service or any part of it; if we do, we'll make reasonable efforts to give notice.
3. Your account
You're responsible for your account and for keeping your login credentials secure, and for all activity that occurs under your account. Tell us promptly at support@ghostbillpro.com if you suspect unauthorized access. You agree to provide accurate information and to keep it up to date.
4. Plans and billing
- Free plan. The GhostBill Pro app is free to use. No subscription is required to create an account or use the core features. We earn a platform fee only on payments you collect through the Service, described in Section 5.
- Pro plan. GhostBill Pro is an optional paid plan billed at $199 per year. It is billed annually in advance and renews automatically each year until canceled. A valid payment method is required. The Pro plan lowers your platform fee as described in Section 5.
- Cancellation. You can cancel the Pro plan anytime in Settings → Subscription and will keep Pro benefits through the end of the current billing period, after which your account reverts to the free plan.
- Refunds. Subscription fees are non-refundable except where required by law, and we don't pro-rate partial periods.
- Price changes. We may change the Pro plan price; changes apply at your next renewal and we'll provide reasonable advance notice.
- Taxes. Prices exclude applicable taxes, which are your responsibility.
- Chargebacks. Initiating a chargeback or payment dispute instead of using our cancellation or support process is a breach of these Terms and may result in suspension.
5. Payments you collect and platform fees
If you accept payments from your clients through the Service, those payments are handled by our third-party payment processor (Stripe), and your use of that functionality is subject to the processor's own terms. The processor handles your clients' card details, we don't store full card numbers. Disputes, chargebacks, payout timing, and similar matters between you and the processor are governed by the processor's terms, and we aren't responsible for them.
Platform fee. We charge a platform fee on the payments you collect through the Service: 2.99% on the free plan, reduced to 0.99% while you have an active GhostBill Pro subscription. This fee is calculated on the payment amount and is in addition to the payment processor's own processing fees. It is applied automatically at the time each payment is processed. We may change the platform fee on reasonable advance notice, and any change applies to payments collected after it takes effect.
6. Acceptable use
You agree not to use the Service to, or to help anyone else:
- Break the law or infringe anyone's rights
- Bill for work not performed, forge signatures, or impersonate others
- Upload malicious code, send spam, or scrape or overload the Service
- Attempt to access accounts, data, or systems you're not authorized to access
- Reverse-engineer, resell, or build a competing product from the Service
We may suspend or close any account that violates these Terms or poses a risk to the Service or others, sometimes immediately where the issue is serious.
7. Your data and content
You retain ownership of the content you put into the Service. You grant us a limited, non-exclusive license to host, process, transmit, display, and back up that content solely to operate and provide the Service to you. We don't sell your data or use the content of your invoices to train AI models. See our Privacy Policy for details.
You're responsible for the accuracy and legality of what you upload, including having the rights and permissions needed to capture and store any client information, signatures, or images.
8. Our intellectual property
The Service, our website, brand, and underlying software are owned by us and protected by law. We grant you a limited, revocable, non-transferable right to use the Service while your account is active. You receive no other rights.
9. Service availability
We aim to keep the Service available but don't guarantee any specific uptime. The Service may be unavailable from time to time, including for maintenance or circumstances outside our control.
10. Disclaimers ("as is")
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements or comply with any law that applies to your business.
GhostBill Pro is software, not legal, tax, accounting, or other professional advice. Consult a qualified professional for advice specific to your situation.
11. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility.
- Our total aggregate liability for any and all claims relating to the Service is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.
Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or violation of any law or third-party right.
13. Termination
You can close your account at any time. We may suspend or terminate your access if you breach these Terms or pose a risk to the Service or others. On termination, your right to use the Service ends. You may export your data for a reasonable period, after which we may delete it, except where we need to retain it for legal, tax, or fraud-prevention reasons. Any terms that by their nature should survive termination will survive.
14. Governing law and disputes
Before filing any claim, you agree to first contact us at support@ghostbillpro.com and try in good faith to resolve the dispute informally.
These Terms are governed by the laws of the State of [governing state, to be confirmed], without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in [county, state, to be confirmed], and you consent to that jurisdiction.
The bracketed jurisdiction must be finalized with counsel before launch.
15. General
- Entire agreement. These Terms, together with the Privacy Policy and any terms referenced here, are the entire agreement between you and us regarding the Service and supersede any prior agreements.
- Severability. If any provision is found unenforceable, the rest of these Terms remain in full effect, and the unenforceable provision will be limited or modified to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets.
- Force majeure. We aren't liable for delays or failures caused by events beyond our reasonable control.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we'll provide reasonable notice. Your continued use of the Service after an update means you accept the revised Terms.
